At AU NOIR, we are committed to preserving our brand's premium value while supporting the success of our retailers. This pricing policy aims to ensure consistency and fairness across all sales channels.

1. Current Collection Pricing

• Styles featured in the online virtual catalogue may under no circumstances be advertised at a discount greater than 20 %.
• Discounts are only permitted during the following periods:
  • Spring Collection: Starting on the Friday marking the start of the construction holiday.
    Reference: 2026 (July 17), 2027 (July 23), 2028 (July 21).
  • Fall Collection: During Black Friday week, from the Thursday before Black Friday through the following Wednesday, and until Boxing Day.
• Any additional discount or special promotion must be approved in advance and in writing by AU NOIR, including for selected styles or as part of special events.

2. Launch of New Collections

• Spring Collection: Launched and prioritized at full price after Valentine's Day.
• Fall Collection: Launched and prioritized at full price after the back-to-school period.

3. Discounts on Products from Previous Collections

• Products from more than one season ago: Permitted discounts must range from 25% to 35%.
• Products from three or more seasons ago: Discounts may be discounted by up to 50 %.
• Photos from the current collection may not be used in advertisements promoting a clearance sale.
• Online advertising or announcements promoting a clearance sale are only permitted during the following periods:
  • Starting on the Saturday one full week before Father's Day;
  • Starting on the Friday before the official start of the construction holiday through Labour Day, including the back-to-school period;
  • During Black Friday week, from the Thursday before Black Friday through the following Wednesday;
  • From Boxing Day through Valentine's Day.
• Any additional discount or promotional offer must be approved with prior approval from AU NOIR.

4. Remaining Inventory and Incomplete Size Runs

• For remaining inventory and incomplete size runs from the current collection, clearance sales in physical stores are permitted only:
  • After Father's Day for the Spring collection;
  • After Boxing Day for the Fall collection.
• For previous collections, clearance sales in physical stores are permitted at any time.
• The discount offered as part of a clearance sale may under no circumstances exceed 50 %.
• Retailers' remaining inventory may be discounted online, provided the conditions set out in this policy are met.
• Infinity / N.O.S. (Never Out of Stock) styles may be discounted online by a maximum of 20 %, unless prior authorization from AU NOIR.

5. Pricing Policy Compliance

Retailers must strictly adhere to this pricing policy when selling AU NOIR products.

Any violation of this policy may result in penalties, including the suspension of future orders.

6. Product Exchanges

At AU NOIR's discretion, a style that does not perform adequately or does not sell in the retailer's store may be eligible for an exchange.

7. Monitoring and Compliance

• AU NOIR will monitor prices across all sales channels to ensure compliance with this policy.
• Non-compliant retailers will have 2 days to rectify the situation.
• Repeated violations may result in termination of the business relationship with AU NOIR.
• The Syncio app (Store ID: 6042a73c598fd) must be used to synchronize prices across online partners.

8. Policy Updates

AU NOIR reserves the right to amend this pricing policy at any time. Any changes will be communicated to retailers in writing.
